CONSTITUTION AND BY-LAWS
ADRIAN AMATEUR RADIO CLUB, INCORPORATED
ADRIAN, MI

ARTICLE
I
The name of this organization shall be the
ADRIAN AMATEUR RADIO CLUB.
ARTICLE II:
PURPOSE
To further the cause of
Amateur Radio, to teach Radio Fundamentals,
code, and to hold classes for the
same. To further exchange information
and co-operation between members, to
promote radio Knowledge,
Fraternalism and individual
operating efficiency, and to so conduct
club programs and activities as to
advance the general interest and
welfare of amateur radio in the
community. Recognition and enhancement
of the value of the amateur service
to the public as a voluntary
non-commercial communication
service, particularly with respect to
providing emergency communications.
Continuation and extension of the
amateur's proven ability to
contribute to the advancement of the radio
art. Continuation and extension of
the amateur's unique ability to
enhance international good will.
ARTICLE
III:
MEMBERSHIP
Section 1. Any Person subscribing to the purpose and
constitution and
by-laws of this organization shall
be eligible for membership.
Section 2. Anyone with a bona fide interest in amateur
radio shall be
eligible for membership.
Section 3. The types of membership shall be regular,
family, life and student.
Regular members enjoy all rights
.and privileges of membership.
Student members enjoy all rights and
privileges of membership except
voting. A student is defined as a
person under 22 years of age and
living with or under the direct
financial support of their parents or
legal guardian.
Section 4. Application for membership must be made on
the club
application form and accompanied by
the initiation fee (price of
name tag).
Section 5. Applicants must be recommended by a regular
member in good
standing and approved by the Board
of Directors.
ARTICLE
IV: OFFICERS AND ELECTIONS
Section 1. The officers of the Adrian Amateur Radio
Club Shall be
President, Vice President,
Secretary, and Treasurer.
Section 2. All officers shall be elected for a term of
one year by a
majority vote of the active
membership in attendance at the election
meeting
Section 3. Election of officers shall take place during
the month of
October each year.
Section 4. All officers must be a regular active member
in good standing
for six (6) months and hold a valid
Amateur Radio License.
Section 5. No member shall hold two elected offices at
the same time.
Section 6. All nominations shall be from the floor; all
voting by written ballot.
Section 7. The President shall appoint an election
committee to
officiate during elections.
Section 8. Nominations shall be made one month previous
to the annual
election and the names of the persons
nominated will be printed on
standard ballots to be distributed
to the regular members in good
standing in attendance at the
election meeting.
Section 9. Any person who has been nominated for office
and wishes to
decline nomination shah state his
reasons for declination verbally,
otherwise his name will be attached
to the ballot for voting.
Section 10. Officers may be removed from office by a
majority vote Of
on 10the active members in good
standing. This must be done by written ballot.
Section 11. Any person who has not previously notified
the president or
secretary of reason for absence from
the nomination meeting shall be
declared ineligible for office.
Section 12. In case the President's office is vacated,
the vice-president
becomes President and an election
For vice-president is held.
ARTICLE
V: DUTIES OF OFFICERS
Section 1. The duties of The President shah be: to
preside at all
meetings; to uphold this
constitution and its by-laws; to sign all
official documents; to appoint all
committee chairmen; to act as
ex-officio Of all committees;
appoint all Officers pro term; to perform
all other duties pertaining to the
office.
Section 2. The vice-president shall assume all the
duties of the
President in his absence and perform
such other duties as are delegated
to him by the President.
Section 3. The Secretary shall keep an accurate record
of the procedure
of meetings; send out all meeting
notices; conduct all official
correspondence of the club; call the
roll of officers and keep a record
of attendance at meetings; and care
for the visitor's register.
Section 4. The Treasurer shall maintain a balance of
Income expenditure
and accounts. He shall have joint
control of any bank accounts with the
President.
He shall receive and keep an
accurate report of all monies of the club.
He shall notify members of
delinquent dues. He shall pay all orders
drawn of him when duly approved by
the membership.
(Revised 8-4-89) The membership shell give the board
authority to spend
up to $250.00 amount of money each
month without prior approval of the
membership at a club meeting.
ARTICLE VI: BOARDS AND
COMMITTEES
Section 1. There shall be a Board of Directors. This
shall consist of
the President, Vice-President,
Secretary, Treasurer, the immediate past
President and three members elected
from the membership by ballot at the
first regular meeting following the
election of officers.
Section 2. The Board of Directors together with the officers
of the club
shall appoint a custodian to take
charge of club property, shall care for
club investments, shall act in an
advisory capacity to the President and
report to the membership on all
matters referred to them.
ARTICLE
VII: DUES
Section 1. The dues for all members (except students)
of the Adrian
Amateur Radio Club shall be a fee
set by the Board of Directors and can
be changed by Board action, subject
to the approval of the membership.
Section 2. Dues are payable for the following year at
the June meeting
and a grace period of three (3)
months will be given. All members dues
must be paid in order to vote in the
October election meeting.
Section 3. Dues for full-time students shall be
one-half (1/2) of the
regular dues.
Section 4. New members shall pay dues pro-rated on a
calendar year
(12 months).
Section 5. Extra family membership (wife, husband, son,
daughter) is
one half the single
membership dues.
Section 6. Life membership will be paid in advance and
at a rate of
seventy-five dollars. This
may be done after a member reaches
the age of 62 years of age.
Section 7. Any member in arrears three months is liable
for suspension,
and shall have no voice or vote in
the meetings or in the conduct of the
business of the club, or shall not
receive any of the benefits of the
club, unless reason for non-payment
is received and approved by the Board
of Directors.
ARTICLE
VIII: MEETINGS
Section l. There shall be at least one regular meeting
each month.
Special meetings may be called by
the President who must declare the
business to be transacted and the
purpose for such meeting. A special
meeting may be called by a written
request of two active members in
good standing, said request to be
addressed to the President. A quorum
for a special meeting shall be 50%
of the total membership.
Section 2. Procedure of meetings shall be as follows:

Reading and approval of minutes of
previous meetings Reading of
Communications
Presentation of bills
Reading and referring of
applications for membership Committee reports
Unfinished business
New business
Induction of membership Nomination
and election
Good of the order and introduction
of visitors Report of the treasurer
Introduction of speakers
Adjournment - Dues are payable
ARTICLE
IX: TRIALS AND SUSPENSIONS
The Board of Directors shall act as
trial board. A trial shall be
deemed necessary when upon notice of
two or more members stated charges
are presented charging infraction of
this constitution or by-laws or
conduct unbecoming a member. The
President of the club shah act as judge
at all trials and the vice-president
shall act as prosecutor.
ARTICLE
X
This constitution and by-laws have
been drawn in order that members
shall have complete control of the
club affairs through their duly
elected officers. Any amendments
hereto shall require a three-fourths
(3/4) majority vote of the active
membership present at the meeting in
which the amendments are voted upon,
to become effective. Proposals for
amendments shall be submitted in
writing to the President by at least
two (2) active members in good
standing, and shall be presented at a
regular or special meeting, but
shall not be voted upon until the next
regular meeting.
ARTICLE
XI
In the event the ADRIAN AMATEUR
RADIO CLUB is dissolved, the club assets
will be transferred with clear
title, after all debts and liabilities
have been resolved, to the LENAWEE
COUNTY CHAPTER of the AMERICAN RED
CROSS.
ARTICLE
XII
On February 1, 1991, Article X1 was
repealed by Article XII.
ARTICLE
XIII
March 1, 1991 - In the event the
ADRIAN AMATEUR RADIO CLUB is dissolved,
the club assets will be transferred
with clear title, after all debts
and liabilities have been resolved,
to the non-profit organization to
be determined by the Board of
Directors.
